Terms of Service

1. Eligibility and accounts

You must be at least 13 years old to use the Service, and at least the age of majority where you live (or have a parent or guardian's permission) to make a purchase. The Service is not directed to children under 13.

You agree to give accurate account information, keep your sign-in credentials and API keys secure, and tell us promptly at support@caption.sh if you believe your account or keys have been used without permission. You are responsible for activity that happens under your account and your API keys.

2. The Service

caption.sh takes videos that contain speech and returns new video files with styled, word-timed captions burned in, through an asynchronous job API, a hosted MCP server, and a web dashboard. Transcription, word timing, and layout are produced by automated systems and are approximations. Review output before you publish or rely on it; we are not responsible for the cost of re-editing or re-publishing based on a captioning error.

We may add, change, or remove features, and we may suspend the Service for maintenance or security. We will try to give reasonable notice of changes that materially reduce paid features.

3. Credits and billing

The Service is prepaid. You buy credit packs (currently $5, $10, $20, $50, and $100 US dollars; the larger packs may include bonus credits) and usage draws down your balance at $0.10 per minute of processed video, rounded up to the next whole minute. Prices are in US dollars and exclude applicable taxes.

Credits never expire. Purchases are processed by Stripe; by buying a pack you authorize us and Stripe to charge your payment method.

We may change prices or pack sizes. A change applies to future purchases; credits you already hold keep their value at the usage rate in effect when you spend them unless we tell you otherwise in advance.

Purchases are non-refundable except where required by law. We may issue a refund or credit at our discretion, reviewed case by case; one refund does not entitle you to others. Email support@caption.sh to ask.

If a payment fails or is reversed, we may remove the corresponding credits and suspend processing until the balance is settled.

4. Your content

You keep ownership of the videos you upload and the captioned videos the Service produces for you ("Your Content"). You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, and process Your Content only as needed to operate, secure, and improve the Service for you. This license ends when Your Content is deleted from our systems, except for copies kept in routine backups for a limited time or as required by law.

We do not sell Your Content, and we do not use your videos to train AI models. Our transcription provider processes audio under a contractual no-training arrangement.

Rendered results are deleted 24 hours after a job finishes, and uploaded source videos are deleted automatically within 30 days. Keep your own copies of anything important.

You confirm that you own or have permission to use every video you upload, including the rights to people's voices and likenesses, and that Your Content does not infringe anyone's copyright, trademark, privacy, or publicity rights.

5. Acceptable use

You agree not to: upload content that is illegal, infringing, or sexually exploits minors, or that you have no right to use; attempt to access accounts, systems, or data you are not authorized to access; probe, scan, or test the Service's security, or bypass rate limits, usage caps, or metering; interfere with or overload the Service; scrape, copy, or resell the Service or use it to build a competing product; reverse engineer the Service except where the law allows; or use the Service to violate any law, including privacy and surveillance laws.

6. Copyright complaints

If you believe content processed or hosted by the Service infringes your copyright, email support@caption.sh with a description of the work, where the material appears, your contact information, and a statement that you have a good-faith belief the use is not authorized. We may remove content and terminate repeat infringers.

7. Our intellectual property

The Service, including its software, design, and the caption.sh name and logo, belongs to Canna Holdings and its licensors and is protected by law. Subject to these Terms, we give you a limited, personal, non-transferable right to use the Service. If you send us feedback or ideas, we may use them without any obligation to you.

8. Third-party services

The Service relies on third-party providers, such as payment, sign-in, transcription, and hosting providers, and may link to other websites, including AI assistants. Your use of third-party services is governed by their own terms, and we are not responsible for them.

9. Suspension and termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use creates risk or harm for us, other users, or third parties. Where reasonable, we will give notice. Sections that by their nature should survive termination, including 4 (license to the extent needed for backups), 7, 10, 11, 12, and 13, survive.

10. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT TRANSCRIPTIONS, CAPTION TIMING, OR LAYOUTS WILL BE ACCURATE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CANNA HOLDINGS AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $50.

Some jurisdictions do not allow certain disclaimers or limits, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Canna Holdings and its members, managers, and employees from claims, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your breach of these Terms or of anyone's rights.

13. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-laws rules. Before filing a claim, you agree to contact us at support@caption.sh and try to resolve the dispute informally for at least 30 days.

Any claim not resolved informally must be brought only in the state or federal courts located in Wake County, North Carolina, and you and we consent to their jurisdiction, except that either party may bring an individual claim in small claims court. To the extent permitted by law, claims must be brought individually and not as a plaintiff or class member in any class or representative action. If you live in a country whose consumer laws give you the right to bring claims in your home courts or under local law, those rights are not affected.

14. Changes to these Terms

We may update these Terms. We will post the new version here and update the "Last updated" date, and for material changes we will give reasonable notice, such as by email or in the dashboard. Continuing to use the Service after changes take effect means you accept them.

15. General

These Terms and our Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays caused by events beyond our reasonable control.
